1. ACCEPTANCE OF TERMS

Welcome to Task360 ("we," "us," or "our"). By accessing or using our website (www.task360.co), engaging our services, or communicating with us, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, please do not use our website or engage our services.

These Terms constitute a legally binding agreement between you and Task360, operated by Task360 Assisst Private Limited, a partnership firm registered in Indore, Madhya Pradesh, India.


2. SERVICES OFFERED

2.1 Professional Services

Task360 provides professional accounting, taxation, compliance, and business advisory services including but not limited to:

  • Accounting Services: Monthly bookkeeping, financial statement preparation, account finalization
  • GST Services: GST registration, return filing, reconciliation, compliance, and litigation support
  • Tax Services: Income tax return filing, tax planning, TDS compliance, representation before authorities
  • Corporate Services: Company incorporation, ROC filings, compliance management
  • Advisory Services: Virtual CFO services, business valuation, financial modeling, fundraising support, ESOP implementation
  • Specialized Services: eCommerce seller advisory, multi-state GST management, startup structuring

2.2 Service Scope

Each engagement will be governed by:

  • These Terms of Service
  • A specific engagement letter or service agreement
  • Applicable professional standards and regulations
  • Indian laws and regulations

2.3 Service Limitations

We provide professional advisory services. We do not:

  • Guarantee specific outcomes or results
  • Provide legal advice (unless explicitly licensed to do so)
  • Make investment recommendations
  • Guarantee approval from regulatory authorities
  • Take responsibility for client's business decisions based on our advice

3. ENGAGEMENT TERMS

3.1 Engagement Process

  1. Initial Consultation: Free or paid consultation to understand your needs
  2. Proposal: We provide a service proposal with scope and pricing
  3. Agreement: You accept proposal through written confirmation or payment
  4. Service Delivery: We execute services as per agreed scope
  5. Completion: We deliver final outputs and close engagement

3.2 Engagement Letter

For significant engagements (above ₹25,000), we will provide a detailed engagement letter specifying:

  • Scope of services
  • Deliverables and timelines
  • Fee structure and payment terms
  • Responsibilities of both parties
  • Terms specific to that engagement

The engagement letter, along with these Terms, forms the complete agreement.

3.3 Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information
  • Grant necessary access to financial records and systems
  • Respond promptly to our queries and requests
  • Review and approve deliverables in a timely manner
  • Inform us of any material changes affecting the engagement
  • Maintain confidentiality of our work product
  • Pay fees as per agreed terms

3.4 Our Responsibilities

We agree to:

  • Provide services with professional competence and due care
  • Maintain confidentiality of your information
  • Deliver services within agreed timelines (subject to your cooperation)
  • Communicate proactively about engagement progress
  • Comply with applicable professional standards
  • Maintain professional indemnity insurance

4. FEES AND PAYMENT

4.1 Fee Structure

Our fees are based on:

  • Subscription/Monthly Packages: Fixed monthly fees for ongoing services
  • Project-Based: Fixed fees for specific deliverables
  • Hourly Rates: For advisory and consultancy services
  • Retainer-Based: Monthly retainer for Virtual CFO and strategic services

4.2 Payment Terms

  • Monthly Services: Payment due on 1st of each month or as agreed
  • Annual Plans: Payment in advance with applicable discount
  • Project Services: as agreed
  • Retainer Services: Monthly advance payment
  • Ad-hoc Services: Payment before service commencement

4.3 Payment Methods

We accept:

  • Bank transfer (NEFT/RTGS/IMPS)
  • UPI payments
  • Payment gateway (Credit Card/Debit Card)
  • Cheque (for amounts above ₹50,000)

4.4 Late Payment

  • Late payment fee: 18% per annum after 15 days of due date
  • Services may be suspended after 30 days of non-payment
  • We reserve right to terminate engagement for non-payment

4.5 Refund Policy

  • Monthly Services: No refund for current month; can cancel for future months
  • Annual Plans: No refund after 30 days from start date
  • Project Services: Refund of unearned fees if terminated before completion
  • Retainer Services: No refund for current month; can cancel for future months

Refunds, if applicable, will be processed within 15 working days.

4.6 Taxes and Government Fees

  • All fees are exclusive of GST (18% applicable)
  • Government fees, filing fees, and third-party charges are additional
  • You will be invoiced separately for such charges

5. INTELLECTUAL PROPERTY

5.1 Our IP

All intellectual property created by us including:

  • Methodologies and frameworks
  • Templates and tools
  • Website content and design
  • Marketing materials
  • Software and technology

Remains our exclusive property. You receive a limited, non-exclusive license to use deliverables for your internal business purposes only.

5.2 Client Data

You retain all rights to your:

  • Financial data and records
  • Business information
  • Proprietary methodologies
  • Trade secrets

We claim no ownership over your data.

5.3 Work Product

Deliverables created specifically for you (financial models, reports, presentations) become your property upon full payment. However, underlying methodologies and templates remain our IP.


6. CONFIDENTIALITY

6.1 Mutual Confidentiality

Both parties agree to maintain confidentiality of:

  • Financial information
  • Business strategies and plans
  • Proprietary methodologies
  • Personal information
  • Any information marked as confidential

6.2 Permitted Disclosures

We may disclose information when:

  • Required by law or regulatory authority
  • Necessary for peer review or quality control
  • With your written consent
  • To our team members and contractors (bound by confidentiality)
  • For professional indemnity insurance purposes

6.3 Data Security

We implement reasonable security measures to protect your data:

  • Encrypted data transmission
  • Secure cloud storage
  • Access controls and authentication
  • Regular backups
  • Employee confidentiality agreements

However, no system is 100% secure. You acknowledge the inherent risks.

6.4 Data Retention

We retain your data for:

  • Duration of engagement
  • Minimum 8 years after engagement completion (as per CA regulations)
  • As required by law

After retention period, data is securely deleted.


7. LIMITATION OF LIABILITY

7.1 Service Limitations

Our services are advisory in nature. We:

  • Cannot guarantee specific outcomes
  • Are not responsible for your business decisions
  • Cannot control government authority decisions
  • Are not liable for third-party actions

7.2 Liability Cap

To the maximum extent permitted by law, our total liability for any claim arising from our services shall not exceed:

  • For monthly services: 2 months of fees paid
  • For project services: Total fees paid for that project
  • For retainer services: 2 months of retainer fees

7.3 Exclusions

We are not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Business interruption
  • Reputational damage
  • Damages arising from your failure to provide accurate information
  • Damages from delays caused by your non-cooperation
  • Force majeure events

7.4 Professional Indemnity

We maintain professional indemnity insurance. Claims may be subject to insurance policy terms.


8. WARRANTIES AND DISCLAIMERS

8.1 Our Warranties

We warrant that:

  • Services will be performed with professional competence
  • We will comply with applicable professional standards
  • Our team has necessary qualifications and expertise
  • We will act with integrity and objectivity

8.2 Disclaimer of Other Warranties

Except as expressly stated, we provide services "AS IS" without warranties of any kind, express or implied, including:

  • Merchantability
  • Fitness for particular purpose
  • Non-infringement
  • Results or outcomes

8.3 No Guarantee

We do not guarantee:

  • Approval by regulatory authorities
  • Tax savings or refunds
  • Litigation outcomes
  • Business success
  • Funding success

9. INDEMNIFICATION

9.1 Your Indemnification

You agree to indemnify and hold harmless Task360, its partners, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your breach of these Terms
  • Inaccurate or incomplete information provided by you
  • Your violation of applicable laws
  • Misuse of our deliverables
  • Your business operations and decisions

9.2 Our Indemnification

We will indemnify you against claims arising solely from:

  • Our professional negligence
  • Our breach of confidentiality obligations
  • Our wilful misconduct

Subject to the liability limitations in Section 7.


10. TERMINATION

10.1 Termination by You

You may terminate:

  • Monthly services: 30 days written notice
  • Annual plans: As per refund policy (Section 4.5)
  • Project services: With payment for work completed
  • Retainer services: 30 days written notice

10.2 Termination by Us

We may terminate if:

  • You breach these Terms
  • You fail to pay fees after 30 days notice
  • You fail to cooperate or provide required information
  • Continuing engagement would violate professional standards
  • There's a conflict of interest

10.3 Effect of Termination

Upon termination:

  • You pay for all services rendered through termination date
  • We deliver work completed to that date
  • Both parties return confidential information
  • Confidentiality obligations survive termination
  • No further obligations except for payment and confidentiality

10.4 Transition Support

Upon termination, we will provide reasonable transition support (maximum 2 weeks) to help transfer work to another advisor. This may be charged separately.


11. WEBSITE USAGE

11.1 Permitted Use

You may use our website to:

  • Learn about our services
  • Contact us for inquiries
  • Access resources we make available
  • Use interactive tools (calculators, etc.)

11.2 Prohibited Activities

You may not:

  • Use website for unlawful purposes
  • Attempt to gain unauthorized access
  • Introduce viruses or malicious code
  • Scrape or copy website content without permission
  • Use automated systems to access website
  • Impersonate others
  • Interfere with website operation

11.3 User Content

If you submit content (forms, comments, etc.):

  • You grant us license to use it for business purposes
  • You represent that you own the content
  • We may moderate or remove content at our discretion

11.4 Third-Party Links

Our website may contain links to third-party websites. We are not responsible for their content, privacy practices, or terms. Use at your own risk.


12. DATA PROTECTION AND PRIVACY

12.1 Privacy Policy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

12.2 Compliance

We comply with:

  • Information Technology Act, 2000
  • Digital Personal Data Protection Act, 2023
  • Applicable professional regulations

12.3 Your Rights

You have the right to:

  • Access your personal data
  • Correct inaccuracies
  • Request deletion (subject to legal requirements)
  • Withdraw consent (may affect service delivery)

13. DISPUTE RESOLUTION

13.1 Informal Resolution

Before initiating formal proceedings, parties agree to:

  1. Notify the other party in writing
  2. Meet (in person or virtually) to discuss resolution
  3. Attempt good faith negotiation for 30 days

13.2 Mediation

If informal resolution fails, parties agree to mediation before:

  • A mutually agreed mediator, or
  • Mediator appointed by Indian Institute of Chartered Accountants of India

Costs of mediation will be shared equally.

13.3 Arbitration

If mediation fails, disputes will be resolved through arbitration:

  • Under Arbitration and Conciliation Act, 1996
  • Single arbitrator mutually appointed or appointed by ICAI
  • Seat of arbitration: Indore, Madhya Pradesh
  • Language: English or Hindi
  • Arbitration costs as determined by arbitrator

13.4 Exceptions

Either party may seek:

  • Injunctive relief in court without arbitration
  • Recovery of unpaid fees through court

13.5 Jurisdiction

Any court proceedings will be subject to exclusive jurisdiction of courts in Indore, Madhya Pradesh, India.


14. GENERAL PROVISIONS

14.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

14.2 Entire Agreement

These Terms, together with any engagement letter and our Privacy Policy, constitute the entire agreement between parties, superseding all prior communications.

14.3 Amendments

We may update these Terms by:

  • Posting updated Terms on website
  • Notifying existing clients via email
  • Effective 30 days after posting

Continued use constitutes acceptance. Material changes will be highlighted.

14.4 Severability

If any provision is found invalid or unenforceable, remaining provisions continue in full force.

14.5 Waiver

Our failure to enforce any right does not waive that right. Waiver must be in writing.

14.6 Assignment

You may not assign your rights or obligations without our written consent. We may assign to any successor or affiliate.

14.7 Force Majeure

Neither party is liable for failure to perform due to circumstances beyond reasonable control including:

  • Natural disasters
  • Government actions or regulations
  • War, terrorism, civil unrest
  • Pandemic or epidemic
  • Internet or utility failures
  • Strikes or labor disputes

14.8 Notices

All notices must be in writing:

  • To You: Email to address you provided
  • To Us: Email to info@task360.co or registered mail to our office

Notices effective upon receipt.

14.9 Relationship

Our relationship is that of independent contractors. Nothing creates:

  • Partnership or joint venture
  • Employment relationship
  • Agency relationship
  • Fiduciary duty (except professional duty)

14.10 Professional Obligations

Nothing in these Terms requires us to:

  • Violate professional standards or ethics
  • Breach regulatory requirements
  • Act contrary to our professional judgment

Our professional obligations to ICAI and law supersede these Terms.


15. PROFESSIONAL STANDARDS

15.1 ICAI Compliance

Our services are subject to:

  • Chartered Accountants Act, 1949
  • ICAI Code of Ethics, 2019
  • Accounting Standards and Auditing Standards
  • Other applicable professional pronouncements

15.2 Professional Independence

We maintain independence and objectivity. If we identify a conflict of interest, we will:

  • Notify you immediately
  • Obtain necessary consents, or
  • Decline/withdraw from engagement

15.3 Quality Standards

We maintain internal quality control systems including:

  • Technical review of deliverables
  • Continuing professional education
  • Professional liability insurance
  • Document management and retention

16. SPECIFIC SERVICE TERMS

16.1 Tax Services

  • We provide tax advisory based on current laws
  • Tax laws may change retroactively
  • Final tax liability is your responsibility
  • We are not responsible for tax authority decisions
  • Representation services subject to separate authorization

16.2 GST Services

  • GST returns filed based on data you provide
  • You are responsible for transaction accuracy
  • We may charge additional fees for amendments
  • Late filing penalties are your responsibility

16.3 Audit Services

  • Audit conducted per applicable standards
  • Management responsibility statement required
  • Audit opinion based on evidence obtained
  • We are not responsible for fraud detection (unless specifically engaged)

16.4 Fundraising Advisory

  • We provide advisory services only
  • No guarantee of funding success
  • Success fees, if any, are separately agreed
  • We do not provide investment advice
  • Securities law compliance is your responsibility

16.5 Virtual CFO Services

  • Advisory services, not executive services
  • No authority to bind you to contracts
  • Final decisions remain with you
  • Not responsible for your business operations

16.6 eCommerce Services

  • Based on information from marketplace portals
  • Subject to portal data availability and accuracy
  • Platform policy changes may affect service scope
  • Additional fees for new platform integrations

18. ACKNOWLEDGMENT

By using our website or engaging our services, you acknowledge that:

APPENDIX A: DEFINITIONS

"Client," "You," "Your": Any individual or entity engaging our services or using our website

"Task360," "We," "Us," "Our": Task360 operated by Task360 Assisst Private Limited, including our partners, employees, and authorized representatives

"Services": All professional services offered by Task360 as described in Section 2

"Engagement": A specific service arrangement between you and Task360

"Deliverables": Reports, returns, documents, and other outputs we provide

"Confidential Information": Any non-public information exchanged between parties

"Professional Standards": Standards issued by ICAI, applicable laws, and industry best practices

"Force Majeure": Events beyond reasonable control of either party

  • eCommerce Growth: ₹15,999/month
  • eCommerce Scale: ₹29,999/month
  • Traditional Micro: ₹4,999/month
  • Traditional Small: ₹7,999/month
  • Traditional Medium: ₹12,999/month
  • Traditional Large: ₹18,999/month

One-Time Services

  • Company Incorporation: ₹18,000 - ₹49,999
  • GST Registration: ₹3,000 per state
  • Trademark (Full Service): ₹75,000 - ₹1,50,000
  • Business Valuation: ₹75,000 - ₹2,00,000
  • ESOP Implementation: ₹1,25,000

Strategic Services

  • Virtual CFO: ₹25,000 - ₹55,000/month
  • Fundraising Advisory: ₹2,50,000 - ₹5,00,000
  • GST Litigation: ₹50,000 initial + ₹25,000/month

All fees subject to 18% GST. Government and filing fees additional.
